TERMS OF SERVICE.
1. Timeline and Revisions
All artwork or design services (collectively Services) are scheduled based on Artist availability. All Services shall be scheduled at least one (1) week in advance, and shall be conducted under a timeline agreed upon by the Artist and the Client. The Artist will make every effort to accommodate the timeline, due dates, and needs of the Client.
If the Artist has completed a milestone in the outlined process for Client approval and the Client does not respond within (72) hours, the Artist retains the right to postpone the project and is not responsible for any missed deadlines.
The Artist agrees to provide 5 or more thumbnail sketches, which are to be selected from by the Client. The Artist agrees to create, based on the thumbnail sketch(es), at least one (1), and up to five (5) rough sketches, with no additional fee. Upon selection of one rough sketch for completion, Artist will complete and provide one (1) finished sketch for Client approval, after which the preliminary sketch stage is over. Revisions made after the finished sketch is approved may be subject to changes in the completion date, in which case the Artist is not responsible for any missed deadlines.
The Client must assume that any additions or alterations requested to be made to the Artwork after the sketch stage will result in changes to the time and cost of the project. The Client agrees to pay Artist an additional fee, to be negotiated separately, for changes requested to the art after the Client has asked Artist to proceed to Final Artwork.
2. Payment
All projects require a non-refundable down payment of a fifty percent (50%) deposit upon signing of contract. The Artist will wait up to a maximum of (72) hours to receive the deposit before the project is postponed. Upon Final Artwork completion, Client will be provided a low-resolution version of the artwork, and the remainder of payment is due within 30 days of receipt. A five percent (5%) monthly service charge will be billed against late payment, and the Final Artwork shall not be provided to the Client nor any usage rights granted until full payment is provided to the Artist.
If the Client cancels or postpones the Project before the Artist has proceeded to Final Artwork, the Artist retains down payment. One hundred percent (100%) of the total fee is due despite cancellation or postponement of the Project if the Final Artwork has been completed. Upon cancellation, the Artist retains all rights to all Artwork produced, and Client shall return any original Artwork and delete digital copies thereof.
All payments, including the down payment, are fully refundable if the Artist fails to produce any work within the due dates of the Project.
3. Expenses
The Client agrees to reimburse the Artist for all expenses incurred by this project, including but not limited to: Sales tax, art supplies, research, specialized software, stock photography, proofs, and physical prints or products. Estimates of these expenses are provided on the project’s Estimate form.
4. Estimates
Fees and expense figures provided in this document are estimates only unless flat rates are provided. The Artist shall keep a record of hours worked and update the client at every due date. Final expenses shall be listed on the final invoice, which shall be sent upon project completion.
5. Reservation of Rights
All rights not expressly granted to the Client are retained by the Artist, including any electronic rights or usage unless specified in this document and including, but not limited to, all rights in sketches, comps, or other preliminary materials. Any grant of rights is conditional upon receipt of full payment. Upon receipt of full payment, the Artist shall deliver digital files necessary to enable the usage rights of the Client granted in this document. Any use additional to that expressly granted above requires arrangement for payment of a separate fee. Artist retains the rights to display all work created by Artist for this Project, including preliminary materials and all Final Artwork, in Artist’s portfolios, print and online. The Artist retains the first opportunity to revise or alter the Artwork for any further use.
6. Prohibition of use of art in generative ai or blockchain
While outlined above, it is necessary to emphasize that Artist retains all rights to any and all work created by Artist, unless expressly granted to Client. This includes rights to reproduce or alter artwork. Client shall not use or upload any work created by Artist to any program used to generate images based on user or database input (Including but not limited to: ChatGPT, Grok, DeepSeek, Gemini, Firefly, and other “Gen AI”/LLM programs). Additionally, minting, purchasing or owning non-fungible tokens (NFTs) using Artist work is prohibited.
